      (Approved by the 7th General Assembly of CATIA and the Ministry of Civil Affairs)

       

      Chapter I General Provisions

      Article 1 The name of the association is China Adhesives and Tape Industry Association (CATIA).

      Article 2 CATIA is a national, industrial and non-profit social organization with the status of a legal person, voluntarily made up of enterprises and institutions engaged in adhesive, sealant and tape industries.

      Article 3 The mission of CATIA is to unite all member units to comply with the Constitution, laws, regulations and policies, and social morality and ethics; to implement the scientific outlook on development with the guidance of Socialist Theories with Chinese Characteristics; to undertake various activities to promote the development and progress of adhesive, sealant and tape industries in China according to marketing principles; to serve companies and institutions in adhesive, sealant and tape industries and reflect complaints and requirements from industry and enterprises to government departments; to enhance communications and collaborations among companies and industries at home and abroad; to implement state industrial policies; to participate in industry management and develop industrial self-regulations; and to act as a bridge connecting the government and companies.

      Article 4 CATIA is subject to business guidance and supervision and administration by its registration administration organ, i.e. the Ministry of Civil Affairs of the People's Republic of China and its competent business unit, i.e. the State-Owned Assets Supervision and Administration Commission (SASAC).

      Article 5 CATIA is located in Beijing.

       

      Chapter II Business Scope

      Article 6 The business scope of CATIA is as follows:

      1. To conduct investigations and studies; to put forward opinions and suggestions on industry development and legislations according to the running and problems of this industry; to formulate related laws and regulations, macro-control and industry policies, industry development plan and entry criteria.

      2. To carry out industrial statistics; to grasp the running and development trends of the industry at home and abroad; to collect, analyze and sort out industry information at home and abroad and publish it in the whole industry.

      3. To formulate and amend product quality standard, promote standardization system construction and upgrade of product quality and grade.

      4. To promote technological innovation system construction and activity, to put forward and assist organizing R&D of some key technologies and significant equipments, to be involved in appraisal and application & extension of technological outcome.

      5. To promote quality management, industrial structure adjustment and upgrading, conduct energy conservation, environment protection and safe production.

      6. To organize technology and information exchanges and cooperation at home and abroad; to hold technology and information exchange conference, exhibition and relevant meeting entrusted by government or according to the market and industry development.

      7. To organize delegation to go abroad for a visit, trade talk and international conference; and to receive visitors from abroad.

      8. To develop technical consultation, technical service, technical training and investment promotion; to help member unit explore international market and antidumping and countervailing.

      9. To publish and issue industrial journals; to set up website and other electronic business information webs.

      10. To regulate behaviors of member units; to launch and develop self-discipline in the industry; to formulate and organize to implement self-discipline management system and industrial moral code; to promote responsible care and credit system construction.

      11. To reflect major issues and companies’ complaints and requirements, put forward suggestions and measures, and safeguard member units’ legitimate rights and interests.

      12. To undertake works authorized and entrusted by government and relevant departments, provide services entrusted by member units and other social organizations.

      13. To conduct other activities favorable to the industry.

       

      Chapter III Membership

      Article 7 CATIA’s members should be member units.

      Any enterprise, institution and social organization with status of a legal person in adhesive, sealant and tape industries, registered within China, could apply for admission to CATIA.

      Article 8 Member units should possess the following qualifications for CATIA membership:

      1. To advocate CATIA’s constitution

      2. To join CATIA voluntarily

      3. To have some influences in adhesive, sealant and tape industries.

      Article 9 Application procedure:

      1. To submit application form

      2. To be approved by CATIA’s Council or Executive Council

      3. To be approved by CATIA’s secretariat entrusted by Council in the period of closing of Council and Executive Council

      4. To issue membership certificate by the secretariat entrusted by CATIA’s Council

      5. To debrief the report on membership development by secretariat at least once a year, and approved by the Council.

      Article 10 Member units could enjoy the following rights:

      1. To vote and be elected

      2. To participate in CATIA’s activities

      3. To have priority to receive services from CATIA

      4. To criticize, make suggestions and supervise for CATIA’s work

      5. To join and quit CATIA’s membership voluntarily

      6. Other rights under CATIA’s constitution.

      Article 11 Member units should fulfill the following obligations:

      1. To abide by CATIA’s Constitution and implement its resolution

      2. To safeguard CATIA’s legitimate rights and interests

      3. To care for and support CATIA’s work, participate actively in its activities, and undertake and perform tasks assigned by CATIA

      4. To pay membership dues

      5. To report and provide relevant information to CATIA

      6. Other obligations under CATIA’s Constitution.

      Article 12 Member units should notify CATIA in writing and return membership certificate when quit. It is regarded as automatic withdrawal of the membership if member units don’t fulfill obligations for two consecutive years.

      Article 13 If member unit violates severely the article of CATIA, the Council or Executive Council could vote to expulse it.

       

      Chapter IV Organizations and Appointment & Recall of Principals

      Article 14 The General Assembly is of the highest authority of CATIA and shall perform the following powers:

      1. To formulate and amend articles of CATIA

      2. To elect and recall Directors

      3. To validate and approve working reports and financial reports of the Council

      4. To work out and modify the standard on membership dues

      5. To determine working guideline and mission of CATIA

      6. To decide abrogation issues

      7. To decide on other important issues.

      Article 15 The General Assembly shall be convened by more than two thirds of representatives’ attendance. Resolutions shall be subject to more than half of the attended representatives’ vote to enter into force.

      Article 16 The General Assembly will be held every five years. The time can be advanced or postponed through Council’s votes and the Council shall vote to pass and submit to the competent business unit and the registration administrative authority for approval. But the postponement cannot exceed one year.

      Article 17 The Council is the executive institution of General Assembly. It is dealing with daily work of CATIA and responsible for the General Assembly during the intercession.

      Article 18 Responsibilities of the Council

      1. To implement resolutions of General Assembly

      2. To elect and recall President, Vice President, Executive Director and Secretary General

      3. To prepare for convening of General Assembly

      4. To report financial situation and annual work report to General Assembly

      5. To determine absorption and cancellation of member units

      6. To decide establishment of offices, branches, agencies and entities

      7. To appoint Vice Secretary General and institution persons in charge

      8. To guide CATIA and its departments' work

      9. To formulate internal management system

      10. To make CATIA's working plan

      11. To decide on other important matters

      Article 19 The Council shall be convened by more than two thirds of Directors. Resolutions shall be subject to more than two thirds of Directors' vote to enter into force.

      Article 20 The Council will be held annually and can be held via telecommunication under special circumstances.

      Article 21 CATIA has a Executive Council, which is elected by the Council. When the Council is not in session, the Executive Council exercises the powers described in Clause 1,3, 5, 6, 7, 8, 9 of Article 18 and is responsible for the Council. The number of Executive Directors shall be less than 1/3 of the number of Directors.

      Article 22 Meeting of the Executive Council should be held when two thirds or more of the Executive Directors are present. Resolutions of the Executive Council require the approval of more than two thirds of the Executive Directors present.

      Article 23 Meeting of the Executive Council shall be convened at least once half a year. It could be by means of telecommunication under special circumstances.

      Article 24 CATIA's President, Vice President and Secretary General should have the following qualifications:

      1. With good consciousness, insisting on the routes, guidelines and policies of the Communist Party

      2. With influential status in the field of industry

      3. President and Vice President should be under 70 years old

      4. Secretary General should be under 65 years old and in full time job

      5. With good health and capability to work normally

      6. Without receiving criminal penalties and deprivation of the political rights

      7. With full capacity for civil conduct

      8. Love to work for CATIA, be willing to serve the member units and the industry, have relatively high business skills and strong organization and coordination capability

      Article 25 CATIA sets up secretariat which is the administrative office of CATIA.

      Article 26 If President, Vice President and Secretary General are older than the maximal age stipulated in the articles of CATIA, they should go through formalities of dismissal.

      Article 27 The term of office for President and Vice President shall be five years, with no more than two consecutive terms. Secretary General shall be engaged every five years, with no terms restriction.

      Article 28 President of CATIA is the legal representative. Legal representative signs important documents representing CATIA. CATIA's legal representative does not act as legal representatives of other organizations at the same time.

      Article 29 The President exercises the following powers:

      1. To convene and preside over meetings of the Council and Executive Council

      2. To check on the implementation of resolutions of the General Assembly, the Council and the Executive Council

      3. To report to the General Assembly, the Council and the Executive Council.

      Article 30 Secretary General shall exercise the following powers:

      1. To carry out daily work of CATIA and implement annual work plans

      2. To coordinate offices, branches, representative offices to carry out the work

      3. To nominate Vice Secretary General and persons in charge of offices

      4. To appoint or dismiss full-time personnel in offices, branches, agencies and entities

      5. To be responsible for financial management and asset management in offices, branches, agencies and entities

      6. To handle other daily works.

       

      Chapter V Principle of Use and Management of the Assets

      Article 31 Source of funding:

      1. Membership dues

      2. Sponsorship

      3. Government funding

      4. Incomes of activities or services within the approved business scope

      5. Interests

      6. Other legitimate incomes

      Article 32 CATIA takes in membership dues according to the national related regulations.

      Article 33 CATIA funds are used for association development projects within its business scope and shall not be allotted among member units.

      Article 34 CATIA shall set up strict financial management system to ensure that accounting information is lawful, authentic, accurate and complete.

      Article 35 CATIA shall have qualified accounting personnel. Accountant shall not work as a cashier concurrently. Accounting personnel must conduct accounting computation and control and exercise accounting supervision. Accounting personnel who are being transferred to other works or leaving their posts must finalize the handing-over procedure with the persons who are taking over.

      Article 36 The assets management of CATIA shall be exercised in accordance with relevant national accounting regulations, and must accept supervision by the General Assembly and finance department. Assets from fund appropriated by the government, social donation and support must accept supervision by auditing agencies, and relevant information shall be made public in proper ways.

      Article 37 Before shift of term or replacing of legal representative, CATIA must accept accounting supervision by registration administrative organ and competent business unit.

      Article 38 No unit or individual may illegally seize, divide in private, and impropriate the assets of CATIA.

      Article 39 Wages, insurance and welfare of CATIA staff and workers shall be referred to the institutional regulations.

       

      Chapter VI Amending Procedure of Article of CATIA

      Article 40 Amendment to the article of CATIA shall be voted for by the Council and submitted to the General Assembly for approval.

      Article 41 Within 15 days after the approval of the General Assembly for the amendment to the articles of CATIA, it shall not be effective until it is approved by the department in charge and registered by the registration administrative organ.

       

      Chapter VII Procedure of Termination and Handling of Residual Property

      Article 42 The Council or Executive Council could put forward suggestion to terminate CATIA, when CATIA achieves its goal or disband of itself or has to be written off because of breaking down, merger and so on.

      Article 43 The suggestion to terminate CATIA shall be voted for by the General Assembly and approved by the competent business unit.

      Article 44 Before termination of CATIA, under instruction of the competent business unit and other departments, a liquidation team shall be established. The liquidation team shall be responsible for clearing the debts and claims, and dealing with the problems arising from the termination. The liquidation team shall not carry out any actions, which have nothing to do with liquidation during the period of liquidation.

      Article 45 The termination of CATIA is effective only after termination is registered to the social department in charge.

      Article 46 After termination of CATIA, under the supervision of the competent business unit and the registration administrative organ, residual property shall be used to develop concerning business according to state regulations.

       

      Chapter VIII Supplementary Provisions

      Article 47 The Constitution was voted through the 7th General Assembly on November 30, 2010.

      Article 48 CATIA’s Council reserves the right of interpretation.

      Article 49 The Constitution comes into effect when it is registered by the registration administrative organ.
